ROFN vs ROFR: Key Differences Explained

Two rights that let someone step in before an owner sells. How each one works and what it means if you want to sell private shares.

  • Cap tables & term sheets
1.0The short answer

ROFR vs ROFN comes down to when the right holder steps in. A right of first negotiation (ROFN) gives it the first chance to talk, before the owner looks for other buyers. A right of first refusal (ROFR) lets it match a deal the owner has already agreed with someone else. A ROFN leaves the seller more freedom. A ROFR gives the right holder more control.

If you own shares in a private company, a ROFR may already apply to them. Before you sell, the company and often its investors can buy your shares on the same terms. A ROFN is more common in deals between companies, such as a drug license or a joint venture.

What Is the Main Difference Between a ROFN and a ROFR?

The table compares the two on what each is, when it starts, who sets the price, who uses it, legal and tax treatment, the main risk, the effect on liquidity and a typical example. Both give one party a head start on buying an asset. They differ on whether an outside offer exists yet.

What it is
Right of first negotiation (ROFN)A promise to negotiate with the right holder first, for a set period, before talking to anyone else.
Right of first refusal (ROFR)A right to buy on the same terms as an offer the owner has received from an outside buyer.
When it starts
Right of first negotiation (ROFN)When the owner decides to sell or license, before any outside offer.
Right of first refusal (ROFR)After the owner has a deal with an outside buyer.
Who sets the price
Right of first negotiation (ROFN)The two sides, by negotiation. Neither has to agree.
Right of first refusal (ROFR)The outside buyer. The right holder can only match it.
Who uses it
Right of first negotiation (ROFN)Strategic investors, licensing partners, joint venture partners.
Right of first refusal (ROFR)Private companies and their investors, over shares held by founders and employees.
Legal and tax treatment
Right of first negotiation (ROFN)A contract term between the parties. It creates no tax event.
Right of first refusal (ROFR)Allowed for Delaware shares if noted on the certificate or in the share notice. It creates no tax event.
Main risk
Right of first negotiation (ROFN)Talks can stall the owner for weeks and still end with no deal.
Right of first refusal (ROFR)Outside buyers may not bid, knowing they can be matched.
Effect on liquidity
Right of first negotiation (ROFN)Delays a sale. After the window, the owner is usually free.
Right of first refusal (ROFR)Adds weeks to every sale and can scare off buyers.
Typical example
Right of first negotiation (ROFN)Sanofi’s ROFN on a Vigil Neuroscience drug program, 2024.
Right of first refusal (ROFR)Astera Labs’ 30-day ROFR on employee shares, ending at its IPO.

A ROFN opens talks before the market sees the asset. A ROFR lets the holder step into a deal the market has already priced

3.0How each works

How a ROFN and a ROFR Work, Step by Step

Right of First Negotiation

  1. NoticeThe owner tells the right holder it wants to sell or license the asset.
  2. Exclusive talksFor a set period, the two sides negotiate. The owner cannot shop the asset to others.
  3. OutcomeThey sign a deal, or the window closes. The owner is then usually free to go to the market.

Some ROFNs add a limit. The owner may not sell to an outsider on terms better than the right holder’s last offer. That turns the ROFN partly into a right of first offer.

Right of First Refusal

  1. Outside offerThe holder of the shares finds a buyer and agrees a price and terms.
  2. NoticeThe holder sends the company the buyer’s name, the number of shares and the terms.
  3. Match or passThe company, and in many cases its investors, can buy on the same terms within the window.
  4. SaleIf they pass, the holder can sell to the buyer on those terms within a set time.

In the NVCA model, a template from the National Venture Capital Association, the company gets 15 days and investors 10 more. Astera Labs gave itself 30 days. Its ROFR ended at its IPO. For the full path of a private share sale, see secondary transaction.

4.0Investors and employees

Which Is Better for Investors or Employees?

It depends on which side you are on. For the party holding the right, a ROFR is stronger. It sees a real market price and can step in at that price. For the owner, a ROFN is lighter. It costs a few weeks of talks, then the owner can sell freely.

Employees usually sit on the owner side of a ROFR. If you hold private company stock, a buyer must wait out the company’s window before closing. Some buyers will not do the work if the deal can be taken from them. That makes private shares harder to sell.

Investors often hold both kinds of rights. A venture fund may have a ROFR on founder shares and pro rata rights in new rounds. A strategic investor, such as a drug company, may ask for a ROFN on a product. Sanofi did so with Vigil in 2024 and bought the whole company a year later.

5.0Tax

How the Tax Treatment Compares

Neither right creates a tax event by itself. Tax arises when you sell the shares, whether to the right holder or to an outside buyer. The sale is taxed the same way in both cases.

One detail matters for stock you receive for work. US tax rules value such stock without most restrictions on it. The exception is a nonlapse restriction: a permanent duty to sell at a price set by formula. A permanent ROFR at a formula price counts as one. A duty to offer the shares at fair market value does not.

A typical startup ROFR matches a buyer’s price and ends at the IPO. So it does not lower the taxable value of your shares. Get advice if your documents set a formula price.

6.0Pros and cons

ROFN vs ROFR Pros and Cons: A Verdict on Each

Right of First Negotiation

For
The owner keeps control of price and timing. Outside buyers are not chilled, because no deal can be taken from them. The right holder gets early, exclusive access.
Against
The right holder may lose the asset to a higher bidder. Talks can tie up the owner and still fail.

Verdict: a ROFN is a light right. It suits a partner who wants a first look and a seller who wants to keep a free hand. It gives the holder access with no promise of a deal.

Right of First Refusal

For
The right holder can keep shares away from unwanted buyers. It pays only a price the market has set.
Against
Every sale takes longer. Buyers may bid less, or not at all, if they can be matched.

Verdict: a ROFR is the stronger right. It lets a private company keep control of its cap table. For a shareholder who wants to sell, it is a real cost in time and in the number of willing buyers.

Key point

A ROFN gives the first conversation. A ROFR gives the last word on a deal someone else has already priced.

7.0For you

What These Rights Mean If You Want to Sell

Before you look for a buyer, find the ROFR in your documents. It can sit in the bylaws, your stock plan or a separate agreement. Note who holds it, how long the window runs and what notice you must send.

Under Delaware law, the restriction must be noted on your certificate or in the share notice. Otherwise it binds only people who actually knew about it. A third right, the right of first offer, sits between the two. See ROFO vs ROFR and tender offer for a company-run alternative.

Common Mistakes

  • Using the two terms as oneA ROFN opens talks before any offer. A ROFR matches an offer that already exists.
  • Promising a buyer a closing dateThe ROFR window comes first. Under the NVCA model, that is up to 25 days.
  • Forgetting the investorsMany agreements give investors a second turn after the company passes.
  • Assuming the right lasts foreverStartup ROFRs often end at the IPO, as Astera Labs’ did.

9.0Questions

What People Ask About ROFNs and ROFRs

Yes, for the holder of the right. A ROFN guarantees only talks. A ROFR guarantees the chance to buy at the price an outside buyer offered.

It can buy the shares itself on the same terms. Delaware law also lets a company require its consent to a transfer. Both bind you if they are properly noted.

Usually, yes. Startup ROFRs are written for private shares. Astera Labs’ plan says its ROFR terminates at the IPO.

Usually not. A ROFR at the buyer’s price does not lower the taxable value of stock. A permanent right at a formula price is treated differently.

Mostly in deals between companies. Sanofi’s 2024 investment in Vigil came with a ROFN on a license of one drug program.
